PART 1 - INTRODUCTION

This platform operates under Exchange Platform Solutions Ltd ("EPS"), an Alderney-registered company (number 1815) with registered offices at Millennium House, Ollivier Street, Alderney GY9 3TD. EPS holds licensing from the Alderney Gambling Commissioner, Licence Number 131 C1. "EPS Group" encompasses EPS, BETDAQ Trustee Ltd, plus all direct and indirect subsidiaries. Throughout this document, "we," "our," "us," or "BETDAQ" refer exclusively to EPS Group.

These Terms and Conditions regulate your ("you," "your," "Customer") betting activities through our website and mobile application ("BETDAQ Website"). Account registration requires confirmation of your acceptance of these Terms as part of the registration procedure.

For customers in Great Britain (excluding Northern Ireland), activities are regulated by the British Gambling Commission under EPS's British gambling licence number 34865.

Our BETDAQ Website provides these services (collectively, the "Services"):

  • Betting exchange platform ("Exchange" and/or "Exchange Service")
  • Fixed odds sports betting ("Sportsbook")
  • Accumulated sports betting through Exchange or Sportsbook ("MultipleBet")
  • Virtual sports markets via 'Virtuals' tab ("Virtuals")
  • Instant games and casino gaming products ("BETDAQ Casino")

EPS and its subsidiaries administer all Customer Accounts (defined in Part 2, paragraph 1). Betdaq Trustee Company Limited holds all customer deposits.

Should inconsistencies arise between any Parts and Part 2 'Customer Registration with BETDAQ', Part 2 shall take precedence.

PART 2 - CUSTOMER REGISTRATION WITH BETDAQ

1. ELIGIBILITY REQUIREMENTS

Individual Customers

1.1 Individual account registration ("Customer Account") requires your warranty that you're over 18 years old, possess mental capacity for responsible decision-making, and can enter legally binding agreements.

Corporate Entities

1.2 Non-individual entities opening accounts for business activities must warrant they're licensed bookmakers or entities authorized to utilize Services. Business use requires notification during application via [email protected].

1.3 Business users must determine necessary licensing or authorization requirements and maintain valid licenses where required.

1.4 Business users are exclusively responsible for accounting for general betting duty potentially payable on activities. If uncertain whether activities constitute bookmaking or incur betting duty, seek independent legal counsel.

2. LOCATION REQUIREMENTS

2.1 Service participation is prohibited for United States residents and other territories we designate as non-accepted.

2.2 Customers must ensure compliance with gambling laws in their residence country. We bear no responsibility for participation from jurisdictions where gambling is illegal. You must not access our Website or open accounts from locations prohibiting gambling.

2.3 We reserve rights to close accounts or suspend Website access for warranty or undertaking breaches. We may also block transactions suspected of originating from non-accepted territories.

2.4 Great Britain customers are subject to British Gambling Commission regulation.

2.5 All other customers fall under Alderney Gambling Control Commission regulation.

3. IDENTITY VERIFICATION

3.1 Individuals consent to identity verification processes ("Know Your Customer" or "KYC") using details provided during application (birth date, address, personal information). Details may be checked against identity databases per our Privacy Policy. We may request specific identification proof (passport copies). Additional identity verification may be pursued.

3.2 You must maintain current personal information (address, residence, telephone, email) and consent to identity verification checks for all information changes.

3.3 UK-based individuals may only use services after completing KYC requirements. For non-UK individuals, unverifiable identity details within reasonable timeframes following application and deposit may result in transaction voids and account freezing. Account reactivation requires submitting requested identification documentation. Unsatisfactory verification within reasonable periods may result in account closure and fund withholding (pending verification completion or subject to our Inactive Account Policy).

3.4 Winnings or refunds won't be paid to customers failing KYC verification.

3.5 UK-registered companies or entities may only use services after successful KYC completion. Additional identity disclosure requirements may include: regulatory consents/licenses, director/partner identification, articles of association, incorporation certificates, officer authorization for service participation, and other reasonably requested documents ensuring identity and consent verification.

3.6 We reserve rights to conduct registered detail checks against applicants and customers ensuring information accuracy, and may demand additional evidence regarding age, legal contracting capacity, residence country, or other information anytime.

4. YOUR BETDAQ AGREEMENT

4.1 Service availability requires completing online registration on our Website and accepting Terms and Conditions. BETDAQ reserves rights to refuse applications without correspondence or explanation.

4.2 Registration requires completing the online process on our Website. Clicking the "accept" icon during registration indicates Terms acceptance and consent to be bound by all contents (as amended per their terms) governing our relationship.

4.3 Each customer may maintain only one Customer Account. We reserve rights to suspend suspected duplicate accounts.

4.4 Upon registration, customers are entitled to participate in Services subject to these Terms and Conditions.

4.5 Eligible applicants (per paragraph 1) with successful applications may open accounts and transact with other customers per these Terms.

4.6 During application, customers choose usernames and passwords. These must remain confidential as all offers using these credentials will be treated as valid provided they meet other offer criteria. You're liable for all account transactions and we accept no responsibility for password misuse by third parties.

4.7 Each customer must regularly review account details under "My Account" on our Website. Notify BETDAQ immediately upon discovering transaction or contact information inaccuracies.

5. FUNDING AND WITHDRAWALS

5.1 Customers may deposit funds via the deposits section following Website instructions.

5.2 For successful fund transfers to/from your account, carefully follow instructions in the deposits section.

5.3 Payment method names and billing addresses (credit card, debit card, bank account) must match registered customer names and addresses. From April 9, 2020, we no longer accept credit card deposits from UK-based customers, whether directly or via electronic service providers/eWallets.

5.4 All transactions are denominated in British Pounds Sterling ("£"), Euro ("€"), or US Dollar ("$").

5.5 For non-account-currency deposits, BETDAQ credits accounts with amounts settled by our bank.

5.6 Minimum account deposit is £/€/$10 or currency equivalent.

5.7 BETDAQ imposes no maximum withdrawal limits, though payment provider limits may apply (subject to change). Withdrawals may undergo internal risk reviews.

5.8 Per British Gambling Commission licensing, we inform customers about fund handling and insolvency protection. We maintain segregated bank accounts separate from corporate funds, protecting customer funds from forming part of our assets during insolvency. This meets British Gambling Commission requirements for customer fund segregation at medium protection level.

5.9 Except where payment providers prohibit withdrawals, funds may only transfer back to original deposit sources.

5.10 Per Part 2, paragraph 3, withdrawals require submitted and validated identity details per KYC processes or regulatory obligations.

5.11 BETDAQ reserves rights to restrict withdrawals during internal or external investigations regarding suspicious or fraudulent activity.

5.12 BETDAQ-credited promotional amounts may only be used for Service participation and cannot be withdrawn. Separate terms and conditions may apply.

5.13 You may withdraw cash balances (including winnings from your own funds) anytime. However, withdrawing funds committed to active bonus/promotional offers:

5.13.1 For partial cash balance withdrawals, we may charge reasonable processing fees (reflecting our processing charges), communicated during withdrawal requests;

5.13.2 Results in full forfeiture of corresponding bonus balances and/or bonus pending winnings.

6. ACCOUNT CLOSURE

6.1 You may close your account anytime via telephone, email, letter, or "Contact Us" section.

6.2 We reserve rights to close or suspend accounts anytime for any reason, providing notice unless legally or practically impossible.

6.3 Outstanding offers within account balances won't be released until offers lapse at event times, are cancelled/voided per Terms, are matched with known contract outcomes, or until fund disputes are resolved.

7. INACTIVE ACCOUNT POLICY

7.1 BETDAQ reserves rights to charge reasonable inactive account fees ("Inactive Fee") to accounts without login/logout activity for 12 consecutive months ("Inactive").

7.2 Before charging accounts, we'll make reasonable efforts informing you of remaining funds.

7.3 Prevent Inactive Fees by logging into your account. For accounts charged Inactive Fees, we'll reimburse full fee values upon request within 12 months after initial fee application.

8. YOUR WARRANTIES TO BETDAQ

8.1 You warrant to BETDAQ that:

8.1.1 You're fully legally entitled to enter these Terms;

8.1.2 You possess full authority executing these Terms;

8.1.3 Entering these Terms isn't illegal in your residence jurisdiction and you won't use Services while residing or temporarily located where such services are prohibited;

8.1.4 You'll take full responsibility reporting winnings/losses to relevant tax or other authorities;

8.1.5 If individual, you're over 18;

8.1.6 If corporate entity, Service participation is permitted under your articles of association;

8.1.7 You won't open additional accounts or access other accounts or attempt using Services/Casino for which you've self-excluded during self-exclusion periods;

8.1.8 You're acting as principal, not as third-party agent;

8.1.9 You aren't and haven't been undischarged bankrupt or in voluntary arrangement with creditors;

8.1.10 If bookmaker, Service participation doesn't contradict your bookmaking licence terms;

8.1.11 If bookmaker, these Terms override your own business terms;

8.1.12 All details provided to BETDAQ are accurate and you won't conceal your true identity using pseudonyms, false addresses, or technical identity/location concealment;

8.1.13 You're the authorized customer of any payment method used on BETDAQ and haven't failed to honor bet liabilities by attempting card payment chargebacks for betting services.

8.2 You understand Service participation is speculative and contains risk. You acknowledge financial preparedness undertaking such risks and withstanding any losses, sustaining total loss of committed Stakes.

9. CUSTOMER INDEMNIFICATION OBLIGATIONS

9.1 You agree to indemnify and hold harmless EPS Group, Betdaq Trustee Company Ltd, and their subsidiaries, affiliates, officers, directors, agents, and employees from liabilities, claims, losses, or demands arising from your Terms breaches or law/third-party rights violations.

9.2 You acknowledge BETDAQ holds information regarding your identity (name, address, payment details). You agree we rely on this information entering these Terms and agree to hold us harmless against falsehood or inaccuracy in provided information.

9.3 You agree to indemnify us for losses, costs, or expenses from instruction errors you submit, unauthorized or unlawful Service use, or payment card chargebacks effected for any reason on amounts transferred to your account.

9.4 If through Service use, a customer causes BETDAQ to publish potentially defamatory, illegal, obscene, or offensive material (via Website, email, or otherwise), that customer agrees to sole liability for such publication and will indemnify BETDAQ for all costs, penalties, liabilities, and charges incurred relating to such publication.

9.5 All amounts due under Terms shall be paid to us in full without set-off, counterclaim, deduction, or withholding (except legally required tax deductions/withholdings).

10. FRAUD; FRAUDULENT AND/OR SUSPICIOUS BETTING

10.1 Customers using our Website for criminal or fraudulent activities or directly/indirectly using Exchange to make/accept offers on behalf of third parties or using Sportsbook to place bets for/on behalf of third parties will have accounts terminated per Part 2, paragraph 18.

10.2 Our Website must not be hacked, altered, or compromised. Such behavior leads to account closure.

10.3 BETDAQ reserves rights to void bets made by customers attempting fraud where evidence exists of price, race, match, or event rigging (including Bot misuse) or rule breaches by sport governing bodies. Where rigging evidence exists or acts unfairly affecting results exist, or evidence shows series of bets containing identical selections placed by/for same individuals or syndicates, BETDAQ reserves rights to void bets or withhold return payments pending investigation outcomes.

SUSPICIOUS BETTING ACTIVITY

10.4 Suspicious betting involves reasonable grounds believing Exchange offers are made or Exchange/Sportsbook bets matched/placed under suspicious circumstances. Examples include but aren't limited to:

10.4.1 Unusual frequency (versus betting norms) of identical selections used in different multiple bet types;

10.4.2 Inconsistent/unusual betting patterns (versus betting norms) on identical selections over short periods;

10.4.3 Inconsistent/unusual betting patterns (versus betting norms) on identical selections where winning (or placing) probability based on starting prices differs considerably or inconsistently from expectations based on exposed form and available information when bets were struck;

10.4.4 Belief that external factors, influences, or insider knowledge is shared/used exploiting market positions with unusual betting patterns (versus betting norms) associated with multiple bets/bet types featuring identical selections;

10.4.5 Event integrity questioned, including (but not limited to) where one or more participants display exceptional form we reasonably believe was known to you or someone connected to you at bet placement but was concealed from the public to gain unfair betting advantages;

10.4.6 Reasonable suspicion you've opened duplicate accounts or subsequent accounts under common control with your account;

10.4.7 Reasonable belief bets were placed from locations or devices other than claimed locations/devices.

10.5 Where suspicious betting evidence exists, BETDAQ reserves rights to void all offers/bets deemed suspicious. Accordingly, BETDAQ isn't responsible for losses (actual or potential) incurred on bets with reasonable grounds for suspicion that were subsequently voided.

11. COMPLAINTS AND DISPUTES

11.1 "Complaint" means complaints about our conduct regarding your Service dealings; "dispute" means complaints or disagreements regarding Services or BETDAQ Casino gambling transaction outcomes not resolved through Complaints Procedure.

11.2 For complaints, first contact Customer support using Website details to register and record complaints. Make complaints promptly after circumstances arise causing complaints. Expect complaint receipt acknowledgment within 24 hours from receipt time.

11.3 We're committed to efficient query/complaint resolution and will use reasonable efforts resolving Complaints promptly. If unsatisfied with our resolution, you may escalate per our Dispute Resolution Policy.

11.4 We reserve rights to record all communications with you and others regarding complaints or disputes. For communication content disputes, references will be made to such records and transaction databases which, absent contrary evidence, shall be decisive.

11.5 You're reminded that under other Terms provisions, both you and we may close or suspend account operations potentially during pending complaints or disputes.

11.6 You accept complaints or disputes shall remain confidential during and after resolution seeking. You agree not to disclose existence, nature, or details of complaints/disputes to third parties except under Dispute Resolution Policy (including discussing such complaints/disputes in any chat rooms or forums offered by ourselves or third parties). This confidentiality provision doesn't prevent discussing or disclosing complaints/disputes with relevant regulators (such as British Gambling Commission or Alderney Gambling Commission) or persons required under applicable law.

11.7 You accept failure complying with confidentiality obligations breaches these Terms and we reserve rights not to continue seeking complaint/dispute resolution.

11.8 Complaints Procedure

11.8.1 For initial complaint registration phases, we'll investigate matters fairly and objectively and advise you of outcomes/decisions within eight weeks from complaint receipt. You may be required to provide additional information or appropriate evidence for complaint handling. Where we request further information/evidence, the eight-week period pauses until information receipt.

11.8.2 If initial phase complaints aren't resolved satisfactorily, you may anytime during eight-week periods request matter escalation and review. In this secondary phase, complaints are referred internally to senior managers (Senior Management of BETDAQ business) who'll conduct independent reviews presenting findings. We'll advise you of outcomes/decisions as soon as reasonably possible and may request more information or appropriate evidence.

11.8.3 Our complaint process ends if complaints remain unresolved eight weeks after receipt (accounting for information-provision pauses), or we reach deadlock or final positions in less than eight weeks. We'll then write final response emails on matters.

11.9 Dispute Resolution Policy

11.9.1 All complaints unresolvable in initial or secondary phases during eight-week periods can be forwarded to relevant independent bodies for dispute adjudication.

11.9.2 The appropriate adjudicator for Great Britain-based customers regarding bet disputes utilizing Services (excluding Casino Games) is IBAS; the 'Independent Betting Adjudication Service' http://www.ibas-uk.com/. IBAS provides free-of-charge services and rules on betting and gaming transaction complaints.

11.9.3 Customers utilizing Services (excluding Casino Games) outside Great Britain dissatisfied with complaint outcomes may raise matters with the Alderney Gambling Commissioner. For information about contacting the Gambling Commissioner, access the Alderney Gambling Commission website - https://www.gamblingcontrol.org/faqs/player-issues/

11.9.4 Where disputes are referred to independent adjudicators under section 11 processes, disputes will be handled according to laws and dispute resolution processes specified by such independent adjudicators and resulting decisions shall be final and binding.

12. SUSPENSION AND TERMINATION

12.1 Without restricting our ability relying on other available remedies, we'll suspend or terminate accounts or cancel unmatched Exchange offers or any Services (including voiding open Sportsbook bets) or unfinished BETDAQ Casino gameplay at our absolute discretion if:

12.1.1 We suspect customers act other than on their own behalf or in concert with others or engaging in illegal or fraudulent activity;

12.1.2 We suspect customers breach any Terms provisions;

12.1.3 We suspect customers act detrimentally to BETDAQ business conduct;

12.1.4 We suspect customers may have credit-obtaining difficulties;

12.1.5 We suspect Service participation is illegal for customers;

12.1.6 We're unable to verify registered addresses or contact telephone numbers;

12.1.7 We suspect our Website has been hacked, altered, or compromised; or

12.1.8 You don't or cannot provide adequate Source of Funds request information such that we deem information insufficient enabling us to meet legal and regulatory obligations; or

12.1.9 We're required by law.

12.2 Upon registration termination or suspension, we reserve rights determining whether to declare void all customer-made contracts using BETDAQ and cancel unmatched customer offers for Services and/or cancel incomplete BETDAQ Casino gameplay and/or void unsettled Sportsbook bets. We also reserve rights withholding funds from relevant customers where we suspect account misuse occurred and further reserve rights donating such funds to charities of our choice if we ultimately close accounts following any internal or external investigations. If customers are party to contracts with customers whose registrations are terminated or suspended, that customer consents to our rights declaring void any such contracts.

12.3 No account restrictions will be enforced after you've made one or more qualifying bets as part of bonus or promotional offers where it would adversely affect your ability satisfying conditions qualifying or fully benefiting from available bonus or promotional offers.

13. LIABILITY LIMITATIONS

13.1 Save for manifest errors on our part, we accept no responsibility and aren't liable for consequences alleged to have occurred through customer Service use or misuse.

13.2 Each customer is entirely responsible for information they provide to Exchange concerning offers they wish to place. We won't enquire into offer reasonableness any customer may make and won't be liable for incorrect customer entries, including data input errors regarding odds or Stakes on offer. We won't be liable to customers for losses customers may incur from password, username, digital certificate, or other identification means misuse accepted by BETDAQ from time to time and we accept no liability resulting from unauthorized use, whether fraudulent or otherwise.

13.3 Services are provided "as is" without any express or implied warranty including merchantability, non-infringement of intellectual property, or fitness for any particular purpose warranties. We shall not be liable for any damages whatsoever including, without limitation, damages for loss of direct or indirect profits, economic loss, business interruption, loss of information, or any direct, indirect, consequential, or special losses howsoever caused including but not limited to any loss of contracts, loss of goodwill, and loss of reputation arising from Service use or inability to use Services, even if we've been advised of such damage possibilities.

13.4 To the extent permitted by law, EPS Group companies and Betdaq Trustee Company Ltd and connected third parties hereby expressly exclude all conditions, warranties, and other terms which might otherwise be implied by statute, common law, or equity law; and:

13.4.1 Any loss incurred transmitting information to our Website;

13.4.2 Any loss whatsoever arising from account use, abuse, or misuse;

13.4.3 Any technical failures, system breakdowns, defects, delays, interruptions, manipulated or improper data transmission, loss or corruption of data;

13.4.4 Communication lines failure (including failures affecting interactive television return-path capabilities), distributed denial of service attacks, viruses, or any other adverse technological consequence of your choosing to use our Services;

13.4.5 Accuracy of any information services provided (including, without limitation, scorers, runners, times, results, or general statistics) or any live scores, statistics, and intermediate results shown on our Website provided by third parties.

13.5 Subject to foregoing provisions, our maximum liability to any customer howsoever arising shall be limited to:

13.5.1 Regarding Exchange Service, amounts of commissions actually received by us from that customer in previous six months;

13.5.2 Regarding BETDAQ Casino, then: for liability relating to specific bets, amounts of Stakes bet; or for any other matters, notwithstanding valid payouts £/€/$10,000.

13.6 Nothing in these Terms affects our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to fundamental matters, nor any other liability which cannot be excluded or limited under applicable law.

14. INTELLECTUAL PROPERTY

14.1 Website information is protected by worldwide copyright laws and treaty provisions. It may not be copied, reproduced, modified, published, uploaded, posted, transmitted, or distributed without our prior written permission. Except as expressly provided herein, BETDAQ doesn't grant any express or implied rights to customers or any persons in any intellectual property rights, customer details, or trade secret information.

14.2 BETDAQ is the owner or authorized user or licensee of all intellectual property rights in our Website including, without limitation, any copyright, patent, registered design, trademarks, service marks, source codes, specifications, templates, graphics, logos, or any rights subsisting in Ireland or elsewhere regarding formats, interfaces, programming, offering services to other customers, software, or any applications for any foregoing and any modification, improvements, developments, and enhancements.

14.3 Except as expressly provided herein, customers or any other persons aren't permitted to interfere with, infringe, or violate any intellectual property rights of BETDAQ or its licensors and you agree not to interrupt or attempt to interrupt Website operation. BETDAQ shall seek legal redress to the fullest law extent against any individuals or companies interfering with, infringing, or violating or attempting to interfere with, infringe, or violate any intellectual property rights in our Website anywhere worldwide. Subject to our Privacy Policy (see Part 4), any customer posting data, information, material, or content on our Website shall give BETDAQ worldwide, royalty-free, sub-licensable, perpetual, irrevocable licenses to use, copy, reproduce, link, modify, adapt, frame, brand, distribute, and publish such data, information, or material on any media now known or later developed.

14.4 It's strictly prohibited to use any price data or any other data or content from our Website without our prior written consent.

14.5 Collection of any of our data via screen scraping or any other automated or manual collection by any customer is strictly prohibited.

14.6 No links to our Website are permitted without our prior written permission.

15. FORCE MAJEURE

15.1 We shall not be liable and shall not otherwise be deemed in Terms breach for any performance failure or performance delay of any obligations hereunder caused by circumstances beyond our reasonable control including but not limited to government or regulatory restrictions, act of God, power cuts, trade or labour disputes, act failure or omission of any government or authority, failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems, unauthorized access, theft, operator errors, severe weather, earthquakes, floods, and strikes or other labour problems. In such events, we reserve rights cancelling or suspending Services or BETDAQ Casino without incurring any liability.

15.2 We won't be liable for equipment or software failure, wherever located or administered, or whether under our direct control or not, that may prevent Service operation, impede offer matching, or prevent customers from contacting us.

15.3 We won't be liable for any failure to perform by third parties to these Terms. In particular, we reserve rights declaring null and void any contracts BETDAQ may not be able to settle because of third-party non-performance.

16. TERM CHANGES

16.1 BETDAQ may amend these Terms anytime by posting amended terms on our Website. All amended terms shall automatically be effective immediately after posting on our Website. If BETDAQ makes material Terms changes, customers will be notified with reasonable and practical notice. This notification will be communicated via email and/or pop-up messages on the website. Continuing Website and Service use by customers following such Terms modifications shall constitute acceptance of new Terms and customers will be bound by such modifications. If customers don't accept any such changes, then their sole remedy is to cease using Services and withdraw any outstanding account balances. From time to time we reserve rights to agree individual Terms amendments with certain customers at our discretion.

16.2 BETDAQ reserves rights changing Website format and Services themselves.

17. INVESTMENT BUSINESS UNDERTAKING

17.1 We're not authorized to arrange contracts or transactions in investments or investment products or otherwise conduct investment business.

17.2 Consequently, customers are prohibited from using Services for engaging in investment transactions or in any manner causing us to be considered arranging investment transactions or otherwise engaging in investment business. Accordingly you undertake that, when using Exchange, you won't deliver or make any offer or series of offers which would (alone or together) if matched, create "contracts for differences" (that is, intended by both parties to end in payment of differences); or rights under contracts for differences or under any other contract whose purpose or pretended purpose is to secure profits or avoid losses by reference to fluctuations in (i) value or price of property of any description or (ii) in indexes or other factors designated for that purpose in contracts; or cause us otherwise to be considered arranging investment transactions or otherwise engaging in investment business.

18. GENERAL PROVISIONS

18.1 If any Terms provision is held invalid, void, or unenforceable by reason of any law, rule, administrative order, or judicial decision, that determination shall not affect remaining Terms provisions validity.

18.2 Headings in these Terms are for convenience of reference only and don't affect any provision construction or interpretation.

18.3 Notices and other communications delivered or mailed to postal addresses or electronic-mail addresses provided by customers shall, until BETDAQ receives written notice of any different address, be deemed personally delivered once sent whether actually received or not.

18.4 Each customer hereby agrees these Terms shall bind their heirs, executors, administrators, personal representatives, and permitted assigns. These Terms shall inure to BETDAQ benefit and its successors, assigns, and agents. We may assign our rights and duties under these Terms to any EPS Group company without notice, or to any other entity upon prior written notice. You may not assign your rights without our prior written consent.

18.5 The relationship of BETDAQ and customers established by these Terms is that of independent contractors, and nothing contained in these Terms shall be construed to:

18.5.1 Give either party power to direct and control the other's day-to-day activities;

18.5.2 Deem parties to be acting as partners, joint ventures, co-owners, or otherwise as joint undertaking participants; or

18.5.3 Other than as stated in these Terms, permit either party or any of either party's officers, directors, employees, agents, or representatives to create or assume any obligation on behalf of the other party for any purpose whatsoever.

18.6 Any waiver by BETDAQ of any Terms breach or default by customers shall not be considered waiver of any subsequent breach.

18.7 Failure or delay by BETDAQ in enforcing or partially enforcing any Terms condition shall not be interpreted as waiver of any BETDAQ rights under these Terms.

18.8 These Terms supersede all prior agreements between parties regarding subject matter and represent the entire agreement between BETDAQ and customers. Each customer hereby agrees these Terms shall also supersede, and automatically terminate, all prior agreements between customers and any former licensed operator of our Website regarding Terms subject matter. For avoidance of doubt, such termination shall not affect any existing self-exclusion arrangements between parties or any other third party regarding our website.

18.9 These Terms shall be subject to and interpreted in accordance with Guernsey Law and shall be subject to non-exclusive jurisdiction of Guernsey courts.

18.10 These Terms have been prepared in various languages other than English for reference only. In the event of any differences between English versions of these Terms and any non-English versions, English versions shall prevail.

19. CASH OUT

19.1 'Cash Out' is a function allowing you to lock in profit or loss on your bet prior to market(s) completion in which you placed bets. Cash Out is only available in markets denoted with Cash Out symbols.

19.2 We'll endeavour informing you if your Cash Out was successful or unsuccessful. Unsuccessful or partially successful Cash Out can occur for numerous reasons, e.g. from market suspension or where markets go 'in running' or where price movements occur on your selections. BETDAQ accepts no responsibility for any loss or perceived loss where Cash Out requests are unsuccessful or partially successful.

19.3 Customers are entirely responsible for checking their market positions at all times and following Cash Out requests as reflected in their market p&l regardless of messages returned or not returned following Cash Out requests.

19.4 While we'll endeavour making Cash Out functionality available wherever possible, Cash Out service may be unavailable from time to time and BETDAQ provides no guarantee as to availability and shall not be liable for any losses flowing from Cash Out function unavailability. We therefore recommend you don't use Exchange or Sportsbook to make offers or match/make bets with intentions of using Cash Out function as ways of mitigating bet liability. All bets will stand regardless of Cash Out feature availability.

19.5 When customers successfully Cash Out this shall constitute original bet settlement and any subsequent events will have no impact on amounts returned to your account. All Cash Out transactions remain subject to BETDAQ standard settlement and bet acceptance rules set out in these Terms.

19.6 We reserve rights to amend, suspend, or remove Cash Out availability anytime on any market or to any customer. Further, we reserve rights to reverse Cash out results where markets are settled in error. Where markets are settled in error, Cash Out results may be amended to take into account circumstances and prices that would have applied had errors not occurred.

EXCHANGE SPECIFIC TERMS

20. EXCHANGE BETTING AND BETDAQ/BETDAQ TRUSTEE CO. LTD ROLES

20.1 BETDAQ's primary role is acting as facilitator between customers wishing to make offers to each other. These offers, if matched or partially matched, will become contracts between individual customers.

20.2 Betdaq Trustee Company Ltd's role is acting as stakeholder for customer funds and providing customers with funds-settlement services for settling those contracts.

20.3 From time to time EPS, or its associated companies, may place exchange bets for following reasons:

  • To seed liquidity and initiate market activity;
  • To hedge liabilities existing in EPS or in other EPS Group parts;
  • To facilitate accepting bets from EPS's other products or services customers, or those of other EPS Group parts, that would otherwise not be accepted.

20.4 In these scenarios, bets placed by EPS, or its associated companies, into Exchange are subject to same terms and conditions as all other customers.

20.5 In consideration of our acting as facilitator for customers transacting with one another we charge commission. Please refer to Commission contained in "Help" section of our Website for more commission calculation information. We reserve rights amending our commission policy from time to time.

21. CHARGES AND FEES

Commission

21.1 Commission is paid by customers based on their net market winnings. No commission is payable where customers have made net market losses.

21.2 BETDAQ charges flat 2% commission fees to customers on all Exchange Net Market Winnings on all sports: ("Normal Commission Rate").

21.2.1 Normal Commission Rate is charged at 2% for customers residing in UK, Ireland, Gibraltar, and Jersey and 5% for customers residing in all other territories.

21.3 BETDAQ reserves rights charging additional rates to Normal Commission Rate on certain sports from time to time, ("Enhanced Commission"). Such Enhanced Commission will be clearly marked in Market Information where it applies.

21.4 Normal Commission Rate and Enhanced Commission Rate apply to all consumer customers on BETDAQ. However, we reserve rights applying different rates to accounts in other customer categories which may include following customer groups: commercial customers including licensed bookmakers, certain profitable customers, and customers with heavy exchange usage such as, but not limited to, API customers. We will notify such customers in advance if their accounts become subject to charges other than those specified commission rates.

21.5 Commission points have no impact in calculating commission amounts you pay and may be used in marketing or loyalty programs. Commission points are awarded to customers on following basis: One exchange commission point is earned for each £25/€40/$40 won or lost across exchange markets. Points have no cash redemption value at any time.

Payment Processing Surcharge and Service Charge

21.6 From January 13, 2018, no deposit or withdrawal surcharge will be levied when processing standard payment (deposit or withdrawal) transactions on BETDAQ. For avoidance of doubt, standard payment is deemed to be any of following: Card transaction, e-wallet transaction, or non urgent online bank transfer transaction.

21.7 We reserve rights however, to levy any associated charges to you if your deposit and withdrawal activity doesn't correspond to sufficient play volume. You're responsible for paying any associated charges to us, either on demand or where sufficient funds exist in your account by debiting these charges from such account funds.

21.8 Any cheque lodgements and all exceptional payments such as same-day bank transfer requests may be levied with service charges where applicable.

22. MAKING EXCHANGE OFFERS

22.1 To enter contracts with other customers, customers must first make offers on any event listed in Exchange stating terms on which they wish to transact, e.g. event, selection, outcome, stake, and minimum price they're willing to accept.

22.2 Customers will only be permitted making offers using funds ("Stake") up to current available balance amounts in their accounts.

22.3 BETDAQ may increase or decrease minimum Stakes anytime.

22.4 When offers are made by customers, BETDAQ will act as stakeholder and agent of customers.

22.5 Exchange will attempt finding opposing customer offers that have unconditionally been entered into Exchange, i.e. those which express opposing views at equivalent terms or better, which haven't yet been matched.

22.6 Once Exchange has found such opposing unmatched offers, it will automatically match two customers' offers and those customers will have entered contracts with each other on terms stated in their opposing offers. This is binding agreement from which it won't be possible for customers to choose to exit and terms of which they cannot amend.

22.7 Customers may only make offers on events for which there's market open on Exchange.

22.8 Customers may request markets be opened on new events on our Website by emailing BETDAQ. BETDAQ is under no obligation opening new markets.

22.9 Customers may only make offers in currency in which their accounts are denominated.

22.11 For offers made after event commencement but before event completion and betting on event has been suspended, ("in running") there's built-in delay for processing offers. Customers must wait for confirmation after delay that their offers have been placed.

22.12 Customers are responsible for offers placed on their accounts where correct usernames or passwords are used accessing accounts.

22.13 Current minimum Stake for offer placed by customer on Exchange is £/€/$0.50. This minimum Stake can be amended by BETDAQ without notice anytime.

22.14 BETDAQ doesn't operate TeleBet service and accordingly doesn't bear any responsibility to customers who attempt placing Exchange offers over phone.

22.15 When customers deliver or make offers into Exchange, customers grant to BETDAQ irrevocable authority:

22.15.1 To accept, on behalf of customers, any other customer's previously recorded corresponding and opposing offer and thus to create matched offer or contract between customers; or

22.15.2 Failing (i), to display customers' offer terms for acceptance by other customers until offers are accepted by other customers or until offers expire.

22.16 BETDAQ will provide customers with order numbers regarding each of their placed offers.

22.17 Once offers have been submitted, BETDAQ will instruct Betdaq Trustee Company Ltd to provide funds-clearance service for transaction in following way:

22.17.1 Immediately upon customer submitting offers into Exchange, BETDAQ will instruct Betdaq Trustee Company Ltd to debit Stakes from customer accounts per offer terms. Total proposed Stake to be deducted will be notified to customers before they finally place offers.

22.17.2 Betdaq Trustee Company Ltd shall hold relevant funds ensuring funds aren't used for any other purpose until offers are unmatched and have expired at stated time for events, are cancelled or voided, or until offers are matched and undisputed contract outcomes between customers are known.

22.17.3 If offers are matched or partially matched then, upon contract settlement per BETDAQ Rules, we'll distribute customers' Stakes according to applicable contract rules agreed between customers, less our commission.

22.17.4 In event offers aren't matched by Exchange, they'll either expire at actual start time of events on which offers are made or, if customers so specified, be carried over to be offered in In Running market. Upon expiry, Stakes offered that aren't matched, or are deemed void, will be returned to respective customers' accounts.

22.18 BETDAQ bears no responsibility monitoring and managing customers' offer status. Offers may not get matched, may get partially matched, or get fully matched. Customers are responsible monitoring how much, if any, of each of their offer is matched.

22.19 Customers aren't permitted using exchange to deliberately transfer money from one account to another by attempting to match bets exclusively between two accounts on exchange.

22.20 Programs may be used by some customers to automatically make offers into Exchange and enter into binding contracts with other customers based on certain specifications and variables set within program ("Bots"). Customers, whether they use Bots or not to make Exchange offers, should be aware any offer could be susceptible to exploitation by other customers.

22.21 All offers placed on BETDAQ markets are placed solely at customer's risk. BETDAQ endeavours providing fair betting markets to customers with market conditions reflecting true nature of betting market on events at any point in time. BETDAQ encourages customers placing Exchange offers to form normal and fair betting market either through manual or automated means through BETDAQ API or other interfaces. Any customer seeking to systematically manipulate betting market odds and or volumes away from normal market activity, either using automatic or manual means, will be deemed to act in breach of these Terms. Accordingly, we reserve rights suspending any offending customer's account and shall be entitled holding any funds relating to any such account pending investigation outcome.

23. OFFER CANCELLATION

23.1 BETDAQ will use all reasonable endeavours meeting offer cancellation requests.

23.2 No offer cancellation will be effective until original offer is removed from Exchange and no longer displayed on our Website.

23.3 As offers are available to other customers until cancelled there's possibility offers may be accepted and matched in Exchange before cancellation requests can be completed. BETDAQ bears no responsibility for delays which may arise between time cancellation order is initiated and time it's actually cancelled.

23.4 BETDAQ reserves rights closing Exchange anytime, to preserve orderly markets or for any other reason deemed fit by BETDAQ.

23.5 Without restricting our ability relying on other available remedies, we may cancel any unmatched offers using Exchange or other Services or void any contracts at our absolute discretion if:

23.5.1 We suspect customers are acting other than on their own behalf or otherwise in concert with others or engaging in illegal or fraudulent activity while using Services;

23.5.2 We suspect customers are breaching any Terms provisions;

23.5.3 We suspect customers are acting in manner detrimental to BETDAQ business conduct;

23.5.4 We suspect it's illegal for customers to participate in Services;

23.5.5 We're unable to verify registered address or contact telephone number; or

23.5.6 We're required to do so by law.

23.6 All void contracts and offer cancellation will have Stakes refunded.

24. SETTLEMENT

24.1 All contracts are settled subject to BETDAQ Rules.

24.2 We reserve rights correcting settlement errors. If, following mis settlement correction, balance on customer's account becomes negative, customer will immediately deposit sufficient funds into account to increase balance to amount at least equal to zero.

24.3 We reserve rights recovering from customers any Stakes paid out in error or which become subject of disputed contract. Any Stakes that become subject of disputed contract will be placed in holding account pending dispute resolution per our Complaints Procedure and Dispute Resolution Policy.

25. VIRTUALS

25.1 Customers aren't able to make offers on markets available on Virtuals but must take price offered on any selection.

25.2 Counterparty for all bets made by customer on any markets available on Virtuals is EPS.

25.3 All bets regarding any market available on Virtuals shall be settled promptly following relevant virtual event completion.

25.4 All bets on any market available on Virtuals are otherwise subject to these Terms but, for avoidance of doubt, any provision specifically relating to Exchange shall not apply.

26. EXCHANGE STARTING PRICE (XSP)

26.1 BETDAQ Exchange Starting Price ("XSP") bets are available in markets denoted with 'XSP' symbol. XSP will only apply to bets specified to take XSP if otherwise unmatched when XSP is calculated. Bets can be specified to take XSP if otherwise unmatched in any one of following places: 1) In Betslip when placing bets by selecting 'At The Off Take XSP' option; 2) In Current Bets Panel when amending bets and 3) In 'My Preferences' section of 'My Account' where customers can default all bets to 'Take XSP' for unmatched bet portions at off.

26.2 XSP is singular price applying on unmatched Exchange bet portions (where XSP has been requested) for both Back & Lay selections at time applicable market turns in-running or at market completion (where in-running isn't offered). XSP bets are treated like any other exchange bet for calculating net market winnings/losses and normal commission rates on net market winnings apply.

26.3 XSP calculation will occur at point of market being turned in running or completed. Small time delay will ensue at this calculation point and market will remain suspended until calculation process is complete. XSP prices are calculated based on matched prices and volumes in exchange market. Counterparty for all bets made by customer at XSP is EPS. BETDAQ won't publish XSP calculation algorithm and may update or amend it from time to time without notice.

26.4 XSP is designed providing assurance around bet matching availability for customers. BETDAQ may guarantee XSP availability up to certain stake/liability amounts for customers at our discretion however amount of stake or liability ultimately available to match at XSP will depend on overall volumes requested by backers and layers of XSP in market. If customer requests stake at XSP beyond that available that can be matched at XSP, then any unmatched portion of their XSP bets will be cancelled at off. (API customers have ability persisting any unmatched XSP requests in-running through their bet placement settings). Customers will know whether their bets are matched or not once market turns in running, after calculation is made and XSP bets have been matched.

26.5 XSP values will be displayed in event card once calculated and displayed for market duration. XSP values displayed while market is in-running are for display purposes only and final XSP calculation on settlement may be subject to rounding process. For example, displayed XSP price may be '6.0' but your actual price will calculated to 12 decimal places and you may not match with exactly 6.0.

26.6 In unlikely event of market being turned in running either early or late with XSP bets consequently being calculated at incorrect time, we reserve rights at our absolute discretion to either let matched bets stand as matched or to undo XSP and un-match all matched XSP bets. Any unmatched XSP bets in these circumstances will be cancelled and become unavailable for any further matching.

26.7 BETDAQ reserves rights not declaring XSP or matching any bets at XSP due to operational or technical error.

26.8 XSP bets can be subject to deduction factor as outlined in these Terms. For example, if XSP has been calculated in market after market has been turned in running and subsequently, selection in that market is withdrawn, XSP for each remaining selection may be subject to deduction factor.

26.9 BETDAQ reserves rights not calculating XSP on any given market where it suspects suspicious betting activity or any form of market manipulation has occurred. Further, we reserve rights suspending settlement or voiding XSP bets where we suspect suspicious betting activity or any form of market manipulation or collusive behaviour has taken place. Terms relating to suspicious betting, market manipulation, or collusive behaviour found in these Terms will apply.

26.10 If for any reason Betdaq returns XSP prices it deems palpably different to expected odds for given market, we reserve rights voiding all bets on that particular selection or market regarding XSP bets.

26.11 BETDAQ reserves rights removing XSP bet placement permissions from any account at our discretion.

SPORTSBOOK SPECIFIC TERMS

27. PLACING SPORTSBOOK BETS

27.1 You must exercise your own judgement choosing to place bets or make offers. You acknowledge that, in placing your bet or making offer, you're not relying on any statement of any of our employees relating to bet subject matter. We reserve rights refusing part or all of bet or offer.

27.2 You agree fulfilling any payment obligations on you set out in these terms per Terms of Use. You agree you're solely responsible for any bets placed on your account with us.

27.3 Once you've placed your bet and you've received confirmation your bet has been accepted, it's too late cancelling bet (unless we, in our absolute discretion, provide permission cancelling or changing bet).

27.4 When betting through Website you'll know your bet has been processed when after clicking OK to process your bet, your betting slip reappears with confirmation your bet has been placed. Your betting slip will also have receipt number individual to that slip, which confirms bet has been accepted.

27.5 Should you have any concerns your bet hasn't been processed correctly go to 'Your Account' button at screen top and enter date when you placed your bet. Details of all processed bets will appear on your screen. Only bets appearing on your Account Statement screen are valid transactions. Alternatively, you can check 'My Bets' tab located beside 'Betslip' tab for details of all placed bets.

27.6 It's your responsibility ensuring details of any transaction which you place are correct. For bets placed through Website, you can check bets using Account Statement.

27.7 Bets placed by credit card or debit card don't become valid until we've received payment. If payment hasn't been received before event commences, then that bet is automatically void.

27.8 Where bets are taken after event start, bets will stand if nothing has happened which would significantly alter selection winning or losing chances (with exception of in play bets which may be placed during events). For example, we would allow football bet to stand (win or lose) if there'd been no goal or sending off in game. All bets placed after event result is known will be void win or lose.

27.9 Clauses 27.3 to 27.5 and 27.8 shall not apply to any bet placed on Exchange.

27.10 No account restrictions will be enforced against you after you've made one or more qualifying bets as part of bonus or promotional offer, where it would adversely affect your ability satisfying conditions qualifying or fully benefiting from available bonus or promotional offer.

27.11 EPS is counter party on all bets placed on Betdaq Sportsbook and on all Multiple Bets placed through either Betdaq Sportsbook or Multiples section of Exchange.

28. MAXIMUM PAYOUT

28.1 Maximum amount we shall be obliged paying to you regarding any one bet or spin shall be limited to following amounts:

28.1.1 'Sportsbook' betting through Website is set out in Rules;

28.1.2 'Virtuals' betting (both Exchange and Sportsbook) through Website is £250,000;

There's no limit on sums that may be won by bets placed on Exchange.

28.2 You acknowledge and agree that for certain products your approved staking level may mean you have opportunity winning more than amounts set out in Clause 28.1 above. Even where your approved staking level may give you opportunity winning higher amount, you agree BETDAQ shall only be obliged paying to you maximum amounts specified in Clause 28.1 above.

29. ACCOUNT CORRECTION

29.1 Where, regarding any Product or event within Product, we make error (whether human or otherwise), we'll be entitled declaring transaction void and withholding any payments. If we wrongly pay amount to you or we pay you more than amount to which you're properly entitled you agree repaying to us immediately upon request from us amount which has been wrongly paid or overpaid to you. We have authority adjusting your account reflecting true outcome and rectifying error. Example of such error might be where price is incorrect, bet is late, failure occurs in one of our systems, or where we enter event result incorrectly.

30. ERRORS IN SPORTSBOOK MARKETS

30.1 This clause relates to errors made in Sportsbook markets. Any errors made regarding Exchange markets are dealt with under Betdaq Exchange Rules.

30.2 We make every effort ensuring we don't make errors accepting bets. However, if as result of human error or system problems bet is accepted at price (which includes odds, handicap provisions, and other bet terms or details) that's either:

30.2.1 Materially different from those available in general market at time bet was made; or

30.2.2 Clearly incorrect given event occurring chance at time bet was made, then we'll pay winnings at correct price.

30.3 To establish correct price we'll consider prices available in general market at time bet was made, including prices offered by Oddschecker. Examples of circumstances where this would apply are:

30.3.1 Price is recorded as 100-1 when price on offer in general market is 10-1; or

30.3.2 Margins for handicap betting have been reversed.

30.4 If bet is accepted in error by us on event or outcome for which no BETDAQ prices are available bet will be void and your stake returned.

31. SPORTSBOOK SETTLEMENT

31.1 All Sportsbook bets are settled subject to BETDAQ Sportsbook Rules.

31.2 We reserve rights correcting settlement errors. If, following mis settlement correction, balance on customer's account becomes negative, customer will immediately deposit sufficient funds into account to increase balance to amount at least equal to zero.

31.3 We reserve rights recovering from customers any Stakes paid out in error or which become subject of disputed bet. Any Stakes that become subject of disputed bet will be placed in holding account pending dispute resolution per our Complaints Procedure and Dispute Resolution Policy.

32. IT FAILURES

32.1 We cannot be held responsible for bet not being placed or offer not being matched for any reason or you being disconnected from Website, including but not limited to computer malfunctions and failure of telecommunications services or internet connections. Your account balance will at all times be as is recorded on our server.

32.2 Balance on server when logging on to our Website, after you've been disconnected, will reflect balance after completion of last bet prior to disconnection.

32.3 We regret imposition of above, however it's necessary avoiding further complications. By placing any further bets or offers on our Website, you accept results of any previous bet. As such (at our discretion) previous bet results are no longer in dispute and no refund or other adjustments will be granted. If you feel any game result is unfair or incorrect, you should contact us immediately and report incident.

PART 5 - MULTIPLE BET TERMS

1. "Multiple Bets" consist of a number of legs, where each leg is one or more selections from an individual market or event. A maximum of fifteen selections can currently be combined in multiples, although BETDAQ reserves the right to amend this number from time to time. All selections in a Multiple Bet are subject to the BETDAQ Rules.

2. Certain combinations of selections, including related contingencies, are not accepted and attempts to place such bets may be prompted with an error pop-up at the bet submission stage. If a bet of this type is inadvertently taken in error, BETDAQ reserves the right to void the relevant individual bet combinations.

3. If a selection in a Multiple Bet is a non-runner or otherwise void under BETDAQ Rules then all bets on that leg of the multiple will be void and the Multiple Bet will be adjusted accordingly (e.g. a treble becomes a double; a double becomes a single).

4. The minimum total Stake for a multiple is £/€/$1. The minimum total Stake per line is £/€/$0.05.

5. The maximum payout from our Multiple Bet product is determined by the Maximum Payout table found in the General Rules of the BETDAQ Sportsbook Rules.

6. Any customer acting in an attempt to defraud BETDAQ will have their Multiple Bets voided. BETDAQ reserves the right to void Multiple Bets in the case of egregious or obvious errors.

PART 6 - BETDAQ CASINO & VIRTUALS TERMS

The BETDAQ Casino product consists of a range of instant (non-downloadable) games in full size and mini-embedded format. Separately, the Virtuals tab on the BETDAQ Website consists of a range of markets based on virtual sporting events on which customers can place either back or lay bets.

1. PLACING CASINO BETS

1.1 You may wager up to your account deposit amount on one or more BETDAQ Casino products or Virtuals markets.

1.2 You're obliged to verify bet instructions are correct before confirming. It's your responsibility ensuring any bet reflects your intentions and we don't accept responsibility for any mistakes you may make.

1.3 When bets are offered by you and accepted on BETDAQ Casino products or Virtuals markets, corresponding amounts are charged against your account.

1.4 At all times, where disagreement exists regarding bet details staked on BETDAQ Casino products or Virtuals markets or any bet outcome, our electronic records (part of our regulated and audited technical facilities) shall prevail.

2. VALID BETS ON BETDAQ CASINO OR VIRTUALS

2.1 Any proposition or other information placed by us on any BETDAQ Casino service part or Virtuals market isn't an offer but is invitation to customers to put forward bet transactions for our acceptance. Value of such restitution is capped to value of funds recovered by colluding accounts.

8.3 3RD PARTY SOFTWARE / "BOT POLICY"
